All services are provided pursuant to the terms of a separate written agreement, statement of work, or engagement letter executed between CDF Foundation and the client. THE TOTAL LIABILITY OF CDF FOUNDATION AND ITS AFFILIATES FOR ANY CLAIMS ARISING UNDER THESE TERMS OF SERVICE SHALL BE LIMITED TO THE GREATER OF: THE AMOUNT YOU PAID TO CDF FOUNDATION FOR SERVICES DURING THE TWELVE MONTHS PRECEDING THE CLAIM; OR ONE HUNDRED CANADIAN DOLLARS (CAD 100.00).
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so some of the above limitations may not apply to you. In such jurisdictions, the liability of CDF Foundation shall be limited to the greatest extent permitted by applicable law.
10. Indemnification
You agree to defend, indemnify, and hold harmless CDF Foundation, Yer Realty Investment Inc., and their respective officers, directors, employees, agents, contractors, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses, including reasonable legal and accounting fees, arising from:

11. Professional Services Engagements
Any professional consulting services provided by CDF Foundation to a client shall be governed by a separate written engagement agreement, which will supersede these general Terms of Service to the extent of any conflict. The terms of such engagement agreements will address scope of work, deliverables, timelines, fees, payment terms, intellectual property ownership, confidentiality obligations, and other matters specific to the engagement.
These Terms of Service do not create a client-consultant relationship between CDF Foundation and any website visitor. A formal client relationship is established only upon the execution of a written services agreement signed by authorized representatives of both parties.
12. Payment Terms
For consulting services engaged through a written services agreement, payment terms shall be as specified in the relevant agreement. All fees are stated and payable in Canadian dollars unless otherwise agreed in writing.
CDF Foundation reserves the right to charge interest on overdue invoices at the rate of one and one-half percent (1.5 percent) per month, or the maximum rate permitted by applicable law, whichever is less. The client shall be responsible for all costs of collection, including reasonable legal fees, incurred by CDF Foundation in collecting any past-due amounts.
All applicable federal, provincial, and local taxes, including goods and services tax (GST) and harmonized sales tax (HST), shall be added to the fees and are the sole responsibility of the client unless a valid tax exemption certificate is provided.
13. Termination of Access
CDF Foundation reserves the right to terminate or suspend your access to the website, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms of Service. Provisions of these terms that by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
Upon termination, your right to use the website will immediately cease. If you wish to terminate your relationship with CDF Foundation, you may simply discontinue using the website. Any ongoing service engagements shall be terminated in accordance with the terms of the applicable services agreement.
14. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any principles of conflicts of law.
You agree that any legal action or proceeding arising out of or relating to these Terms of Service shall be brought exclusively in the courts of competent jurisdiction located in the Province of Ontario, Canada, and you hereby consent to the personal jurisdiction and venue of those courts. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.
If any provision of these Terms of Service is found to be invalid or unenforceable by a court of competent jurisdiction, the invalidity or unenforceability of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
15. Force Majeure
CDF Foundation shall not be liable for any failure or delay in the performance of its obligations under these Terms of Service or under any services agreement to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, fire, flood, earthquake, epidemic, pandemic, government orders or regulations, utility or telecommunications failures, and Internet service interruptions.
In the event of a force majeure condition, CDF Foundation will make reasonable efforts to notify affected parties and to resume performance as soon as reasonably practicable after the cessation of the force majeure event.
16. Changes to These Terms of Service
CDF Foundation reserves the right to update or modify these Terms of Service at any time and from time to time in its sole discretion. When we make material changes, we will update the effective date displayed at the top of this page and provide notice by posting an announcement on the website or sending an email to users who have provided their contact information.
It is your responsibility to review these Terms of Service periodically for updates. Your continued use of or access to the website following the posting of any changes constitutes your acceptance of those changes.
